AudioAI Terms of Use (EULA)

These Terms of Use (“Terms”) govern your access to and use of AudioAI applications and related services (the “Service”). By downloading, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. These Terms include important rules about audio/recording content, AI processing, subscriptions, and liability limitations.

1. The Service

AudioAI provides AI-assisted audio tools that may include vocal separation, noise removal, vocal cleanup/merge optimization, video-to-audio extraction, task history, and related membership/Credits features. Features may change, improve, or be discontinued over time as we develop the Service.

2. Eligibility and account

You must be legally able to enter into these Terms in your jurisdiction.
If you are under the age of majority, you may use the Service only with permission of a parent/guardian where required.
The Service may create an anonymous account linked to a device identifier to sync Credits, membership, and task-related state.
You are responsible for activity under your account/device and for maintaining control of your device.

3. Your content and recording privacy responsibilities

“User Content” means audio, video, filenames, and any other materials you import, upload, submit, or process through the Service. Because recordings can contain personal and sensitive information, you agree that:

you own the User Content or have all licenses, rights, consents, and permissions necessary to use it with the Service;
where legally required, you have obtained consent from every identifiable person whose voice, image, or personal information appears in the User Content before uploading/processing;
you will not upload content that is unlawful, infringing, harassing, exploitative, or that violates another person’s privacy or publicity rights;
you will not upload content you are not authorized to process (for example confidential workplace recordings, covert recordings prohibited by law, or recordings of children without proper authority/consent);
you are solely responsible for complying with wiretapping/recording consent laws, data-protection laws, employment rules, and platform policies applicable to your recordings.

You retain ownership of your User Content. You grant us a limited, worldwide, non-exclusive license to host, transmit, process, transcode, temporarily store, and display User Content solely as needed to operate and provide the Service you request (including sending content to subprocessors that perform AI processing), to secure the Service, and to comply with law. This license ends when User Content is deleted from our systems, except for residual copies in backups for a limited period or records we must retain by law.

4. AI-generated outputs and disclaimers

AI outputs may be imperfect, incomplete, or unexpected. You are responsible for reviewing results before any commercial, public, or consequential use.
The Service is not a substitute for professional audio mastering, legal advice, medical advice, or safety-critical systems.
We do not guarantee that separation/denoising/cleanup will meet any particular artistic or technical standard.
You are responsible for ensuring your use of outputs does not infringe third-party rights.

5. Acceptable use

You agree not to:

reverse engineer, interfere with, or disrupt the Service or its security;
abuse rate limits, attempt unauthorized access, or circumvent Credits/membership controls;
use the Service to create or distribute malware, spam, or unlawful deepfakes/voice misuse;
use another person’s recordings without lawful rights/consent;
misrepresent the origin of processed audio in a deceptive or fraudulent way;
use the Service in violation of export controls, sanctions, or other applicable laws.

We may suspend or terminate access if we reasonably believe these Terms are violated.

6. Credits

Credits are a consumable in-app unit used for certain AI processing and paid features.
Credit costs are shown in the app and may change.
Credits have no cash value, are non-transferable, and are not redeemable for money except where required by law.
Except where required by law, used Credits and completed processing jobs are non-refundable.
We may adjust balances to correct errors, fraud, or duplicate grants.

7. Auto-renewable subscriptions (Apple In-App Purchase)

AudioAI offers optional auto-renewable subscriptions that provide recurring Credits and membership benefits. Subscriptions are purchased and managed through Apple’s In-App Purchase system.

7.1 Current subscription options

Pro Weekly (`com.mike.audioeditor.vip.weekly`): billed every 1 week; includes 100 Credits each period.
Pro Monthly (`com.mike.audioeditor.vip.monthly`): billed every 1 month; includes 500 Credits each period.
Pro Yearly (`com.mike.audioeditor.vip.yearly`): billed every 1 year; includes 6000 Credits each period.

Prices are displayed in the app via Apple StoreKit and may vary by territory and tax. Apple’s displayed price controls at checkout.

7.2 Apple-required subscription terms

Payment will be charged to your Apple ID account at confirmation of purchase.
Subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period.
Your account will be charged for renewal within 24 hours prior to the end of the current period and will identify the cost of the renewal.
Subscriptions may be managed by the user and auto-renewal may be turned off by going to the user’s Account Settings after purchase: Settings > Apple ID > Subscriptions.
Any unused portion of a free trial period, if offered, will be forfeited when the user purchases a subscription where applicable.

7.3 Restore purchases

If you reinstall the app or change devices, use “Restore Purchases” in the Profile page to restore active subscription entitlements associated with your Apple ID, subject to Apple’s rules and our anti-abuse binding checks.

7.4 Refunds

Refund requests for Apple In-App Purchases are handled by Apple under Apple’s refund policies. Please request refunds through Apple’s report-a-problem / purchase support channels.

8. License to use the app

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to use the AudioAI app on Apple-branded devices that you own or control, as permitted by the App Store Terms of Use / Usage Rules. You may not redistribute, sublicense, or make the app available over a network where it could be used by multiple devices at the same time, except as allowed by Apple’s family/sharing rules.

9. Intellectual property

The Service, including software, branding, UI, and documentation, is owned by us or our licensors and is protected by intellectual property laws. These Terms do not grant you rights to our trademarks or brand assets.

10. Third-party services

The Service may rely on third-party infrastructure and AI processors. Your use of Apple services is also subject to Apple’s terms and policies. We are not responsible for third-party services we do not control, except to the extent required by law.

11. Privacy

Our collection and use of personal data, including audio/recording data, is described in our Privacy Policy. Please read it carefully before uploading recordings.

12. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or that outputs will be accurate or suitable for your purpose.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM; OR (B) USD $50. Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the maximum extent permitted.

14. Indemnification

You agree to indemnify and hold harmless AudioAI and its operators from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your User Content, your recordings, your failure to obtain required consents, or your violation of these Terms or applicable law.

15. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, if required by law, or if needed to protect the Service or other users. Provisions that by nature should survive termination will survive (including ownership, disclaimers, limitations, and indemnity).

16. Changes to the Service or Terms

We may update these Terms from time to time. The “Last updated” date will change when we do. If changes are material, we will provide additional notice where required. Continued use after changes become effective constitutes acceptance of the updated Terms.

17. Governing law

Except where prohibited by mandatory local law (including consumer protection laws in your country of residence), these Terms are governed by the laws applicable to the operator’s principal place of business, without regard to conflict-of-law rules. Nothing in these Terms limits rights you may have under mandatory consumer laws.

18. Apple-specific terms

These Terms are between you and AudioAI, not Apple.
Apple has no obligation to provide maintenance or support for the app.
To the maximum extent permitted by law, Apple has no warranty obligation for the app. Any claims related to product liability, legal/regulatory non-compliance, or consumer protection may be directed to us, not Apple, subject to applicable law.
Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
You represent you are not located in a U.S.-embargoed country and are not on any U.S. government denied-party list.
